1. Introduction

Welcome to Bifrost! These terms of use and Service (“Terms”) contained herein on this webpage is a legal agreement between you (“you”, "Client", “User”) and Bifrost Africa (Bifrost” “we”, “our” or “us”). Bifrost is a platform that links independent third party providers of transportation and logistics services (“Drivers”) and their clients with each other for the transportation of goods from one destination to another. When a client request a ride they offer their price for the Driver’s services. The Drivers who see the request can either agree to the offered price or make a counteroffer.

By registering as a client and using the platform, you agree to be bound by these Terms. Please read these Terms carefully before using the platform. If you disagree with any part of these Terms, you may not use the platform.

2. Registration and Account

You must be at least 18 years old to register with Bifrost. By registering, you warrant and represent that you meet this age requirement. When registering, you must provide accurate and up-to-date information about yourself. This information includes your email address, phone number, and location. We will request the information from you when opening your account to confirm your identity. We may also request that you update and verify your information from time to time. Bifrost reserves the right to terminate any account at its discretion, especially in cases of prohibited item inclusion, fraud, or violation of these Terms. Your account is for your exclusive use, and you may not transfer it to a third party. Any authorization of a third party to manage your account is at your own risk.

3. Prohibited Activities

You agree not to use the platform for any illegal or unauthorized purpose, including:

• Shipping illegal goods or substances, which include but are not limited to:
• Poisonous, caustic, flammable, and other hazardous substances
• Fragile items without special packaging
• High-value items (e.g., jewellery, precious metals, precious stones, and products containing them)
• Illegal or stolen goods, pirated products, or counterfeit goods
• Explosive items
• Firearms, gas or cold weapons and their parts, ammunition, fireworks
• Foreign currency and banknotes
• Any shipments prohibited by law
• Liquids in non-special containers

If any prohibited item is found in a shipment:

1. Bifrost reserves the right to immediately cancel the shipment and suspend or terminate the offending party's account.
2. If it is determined that the prohibited item was knowingly added by a Client or Driver, the individual responsible may be reported to law enforcement agencies for further action.

Bifrost disclaims any liability for damages, penalties, or legal consequences arising from the inclusion of prohibited items in shipments.

• Providing false or misleading information about your shipments
• Engaging in fraudulent or deceptive behavior
• Stalking, threatening, or harassing others
• Using the platform to solicit services outside of Bifrost
• Impersonating another person or disguising your identity
• Soliciting or engaging in offline rides or out-of-app deals
• Using the platform for any purpose not intended by these Terms
• Extracting any data or content from the platform

4. Shipments and Bookings

You are responsible for providing accurate and complete information about your shipments, including:

• The type of goods, origin, destination, weight, dimensions, and any special requirements
• Only items visible in the image uploaded will be covered by insurance

Payment: You agree to pay the fees associated with your shipments, including the driver's service fee and service fee, which is in accordance with the terms specified at the time of booking.

Communication: You agree to respond promptly and professionally to any communication from drivers through the platform. Communication should end when the service is complete unless it is to return a lost item. Any other communication may be seen as harassment and lead to suspension or termination of your account. We have the right to monitor and record your communications to ensure compliance with these Terms.

5. Driver Selection and Rating

Selection: You can choose from a pool of qualified drivers based on your specific needs and preferences.

Rating System: You can provide ratings and feedback on your experience with drivers to help improve the platform.

6. Data and Privacy

User Information: You agree to provide accurate and up-to-date information about the goods you want to ship, including their worth. Please note that insurance will only cover items visible in the uploaded images during booking.

Location Data: You may be required to provide destination addresses for your shipments.

Data Sharing: You understand that Bifrost may share your information with drivers and service providers to facilitate the delivery process.

7. Booking of Suitable Vehicles

Clients must book vehicles suitable for the size and weight of their goods. If a smaller vehicle is knowingly booked, causing overloading or damage, Bifrost will not be held responsible for any damages incurred during transportation.

8. Your Responsibility as a Client

As a client, you are responsible for:

• Properly packing and protecting items for transportation
• Providing accurate delivery details, including the recipient's address and contact information
• Ensuring the lawful ownership of items being sent
• Guaranteeing that the shipment can travel freely to the delivery location

Clients must provide a four-digit PIN to claim their items upon delivery.

9. Your Safety

Bifrost prioritizes the safety of its users and continually improves verification systems. If a different driver arrives, report the issue to Bifrost support for investigation.

10. Disclaimer

Bifrost serves as a platform connecting clients and drivers but is not liable for damages, losses, or the quality of services provided by drivers. Insurance covers only items visible in uploaded images during booking.

11. Indemnity

Clients agree to indemnify Bifrost against claims or damages arising from:

• Platform misuse
• Terms violations
• Engaging in out-of-app deals

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Nigeria, with disputes resolved in Nigerian courts.

These Terms of Use ("Terms") govern your use of the Bifrost platform as a driver ("Driver", "you", or "your").

By registering as a driver and using the Bifrost platform, you agree to these Terms. If you disagree with any part of these Terms, you must not use the platform.

2. Eligibility

• You must be at least 18 years old.
• You must possess a valid driver's license.
• You must meet all requirements specified by Bifrost to use the platform.

3. Registration

To use the platform, you must create an account and provide accurate information about yourself and your vehicle. Information required includes:

• Phone number
• Email address
• Valid driver’s license
• National Identification Number
• Vehicle details (e.g., license plate, category, type, model, and color)
• Vehicle images
• Proof of ownership
• Roadworthiness certificate
• Vehicle insurance

Drivers must upload a clear and recent profile photo. Accounts with blurry or missing photos will be prohibited from receiving ride bookings.

4. Compliance with Laws

You must comply with all applicable laws and regulations, including:

• Traffic laws
• Vehicle licensing and insurance requirements
• Industry regulations

5. Prohibited Activities

Drivers are prohibited from:

• Transporting illegal or unauthorized items, including:
• Poisonous, caustic, or hazardous substances
• Fragile items without proper packaging
• Illegal, stolen, or counterfeit goods
• Explosive items or weapons
• Shipments prohibited by law
• Reckless driving or unsafe behavior
• Soliciting business outside of Bifrost
• Providing false or misleading information
• Engaging in out-of-app deals

6. Account and Profile

You are responsible for all activity under your account. Keep your credentials secure and contact support if you suspect unauthorized access. Bifrost reserves the right to terminate accounts for violations.

7. Data and Privacy

Bifrost collects and shares necessary data to facilitate services, including:

• Location data for tracking and route optimization
• User information shared with clients for delivery purposes

8. Your Duty as a Driver

As a driver, you agree to:

• Hold a valid driver’s license and necessary permissions
• Use only registered vehicles
• Operate vehicles in compliance with safety standards
• Refrain from driving under the influence of alcohol, drugs, or fatigue
• Confirm deliveries using the client’s PIN
• Inspect and verify shipment contents before accepting

9. Driver Communication and Service

Drivers must:

• Communicate promptly and professionally with clients
• Provide quality service and meet delivery schedules
• Attempt to resolve disputes through the platform

10. Vehicle Suitability

Drivers must ensure their vehicles are suitable for the goods being transported. Decline jobs that exceed the vehicle's capacity to avoid damage. Bifrost is not responsible for damages caused by overloading.

11. Payment and Fees

• Drivers receive payment after completing a trip, minus a 9% fee (7% service fee + 2% insurance fee).
• Payments are processed and transferred within 48 hours.

12. Indemnity

Drivers agree to indemnify Bifrost against claims, damages, or liabilities arising from:

• Platform misuse
• Violations of these Terms
• Engaging in out-of-app deals

13. Ownership and Intellectual Property

Bifrost retains all intellectual property rights. Drivers may not copy, modify, or reverse-engineer the platform.

14. Governing Law and Jurisdiction

These Terms are governed by Nigerian law. Disputes will be resolved in Nigerian courts.
